01. The service
Helvion Group ("Helvion", "we", "us") audits chargebacks, deductions, missing units, and SLA failures issued against your business by retailers and logistics partners, and files disputes on your behalf through official retailer channels. These Terms govern your use of our website and services. By engaging our services, you agree to them.
02. Fees
Our engagement fees are set out in your service agreement. Unless otherwise agreed in writing:
- A one-time setup fee applies as quoted at the time of engagement.
- A contingency fee of 20% applies to amounts actually recovered and credited to your account.
- If we recover nothing, no contingency fee is owed.
Contingency fees are invoiced after recoveries post and are payable within 30 days of the invoice date.
03. Your obligations
You agree to provide accurate information, maintain the integration access needed to perform the service, and hold the legal right to the accounts and data you connect. You remain responsible for your relationships with your retailers and logistics providers.
04. Access and data
Integration access is read-only. Handling of your data is described in our Privacy Policy. You may revoke access at any time; doing so may limit our ability to perform the service.
05. Confidentiality
Each party agrees to keep the other's non-public business information confidential and to use it only to perform under these Terms.
06. No guarantee
Recovery outcomes depend on retailer dispute windows, evidence availability, and retailer decisions. Past results do not guarantee future recoveries. Except as expressly stated, the service is provided "as is" without warranties of any kind.
07. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Helvion's total aggregate liability under these Terms is limited to the fees you paid to Helvion in the twelve months preceding the claim.
08. Termination
Either party may terminate with 30 days' written notice. Contingency fees remain payable on recoveries attributable to disputes filed before the effective date of termination.
09. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in San Francisco County, California.
